ETHICS AND COMPLIANCE

At Sadara, we are passionate about creating value for our shareholders. We believe in the potential of our company to bring positive change to the Kingdom’s chemical industry — from the products we produce to the jobs and opportunities we create. However, our mission cannot be accomplished unless we are equally focused on “how” we accomplish it, as well as on the “results” of our collective efforts.

Our Core Principles and Ethics

Fundamental principles such as Integrity, Respect, Equality and Environmental Protection are goals of our corporate culture and are reflected in Sadara’s Code of Ethics & Business Conduct. This Code, along with the ability for employees and external parties to report potential violations, guides our behavior both within and outside the workplace.

Integrity

Our business relationships are founded on trust. Sadara has zero tolerance for violations of the Code of Conduct, applicable laws and regulations, or conflicts of interest, including even the appearance of one, in any dealings.

Respect

Respecting the diversity of our workplace fosters an inclusive environment where everyone gets an opportunity to perform at their highest potential.

Equality

Sadara endeavors to ensure that all applicable employment rights are upheld under the law and takes steps to prevent unfair advantages or disadvantages based on discriminatory factors.

Protection

All Sadara contracts shall include a clause referencing Sadara’s ambition to instill a culture of anti-bribery and ‘no kickbacks’ in its workplace, and a zero tolerance for such illegal practices among its own employees, its suppliers, and other third parties with whom it does business.

EVERYONE’S RESPONSIBILITY

During the course of normal business, each one of us may be faced with situations where the right answer is not obvious. The Code of Conduct can guide us, but it cannot address every circumstance. Our first responsibility in all instances is to avoid even the appearance of improper behavior. We must abide by all applicable laws, uphold the morals and values of our society, apply our respective personal values, and, when in doubt, seek counsel, guidance and assistance. As employees, we have an obligation to behave in a manner that protects our business interests, our reputation, and each other.

Obligations include taking action to promptly report any conduct inconsistent with the Sadara Code of Conduct, our Values or the law. Even if the facts of the situation are not entirely clear, each of us still has an obligation to report an incident of concern. All reports of misconduct are taken seriously and will be treated confidentially, consistent with a full and fair inquiry. No action will be taken against anyone who reports a concern in good faith, and anonymity is maintained upon request.

Sadara and its related entities are committed to ethical business practices and regulatory compliance, recognizing their reputation as a valuable asset. Sadara’s Code of Conduct (“Code”) applies to all Sadara employees, to contractors, and to vendors, as well as to joint ventures (JVs), affiliates, or subsidiaries, if any, that adopt the Code. Any references to Sadara or the Company on these pages apply to all such entities. If a section of the Code conflicts with applicable local law, the local law takes precedence.

Actions speak louder than words, and we hold our leaders to the highest standards. Supervisors are expected to model appropriate behavior, ensure that employees have the resources they need to conduct business ethically, encourage open discussion and be responsive to any raised concerns. We expect our management to live up to and maintain the trust that has been bestowed upon them by the company and its shareholders by meeting and exceeding the standards of ethical behavior.

RETALIATION FOR REPORTING POSSIBLE VIOLATIONS

We respect those who raise concerns about suspected improper conduct. We understand that it can be a difficult and emotional decision to come forward and speak up. Sadara, therefore, has a ‘no-retaliation’ policy. We will not tolerate retaliation against anyone who reports a potential violation in good faith.

THE LAW, THE CODE AND COMPANY POLICY

Sadara has detailed policies in many areas covered by Sadara’s Code of Ethics and Business Conduct and has adopted various industry and external best practices. As a global company, we comply with the laws of many countries and jurisdictions. If a section of the Code conflicts with applicable local law, the local law takes precedence.

Sadara is committed to upholding and setting the highest standard for ethics and business compliance. Sadara has established fundamental principles for sustainability and industry best practices.

Sadara Suppliers’ Code of Conduct

Commitment

All suppliers, manufacturers, contractors, subcontractors who wish to establish a business relationship with Sadara are required to understand and comply with the Sadara Suppliers’ Code of Conduct, as well as sign the required acknowledgement form.

Sustainability

Sadara endeavors to prioritize sustainability, as well as local procurement, and to support the growth of the local economy by fostering partnerships with suppliers who share its values and principles.

Code of Conduct

In addition to the Company Code of Ethics and Business Conduct, Sadara has the Suppliers’ Code of Conduct that specifically addresses its relationship with suppliers.

ETHICAL PARTNERSHIPS

Sadara and its suppliers are required to conduct themselves in accordance with the highest standards of honesty, fairness, and personal integrity at all times.

Zero Tolerance

Sadara maintains a strict zero-tolerance policy toward any violations of the Code of Conduct, applicable laws, or unethical practices, ensuring the highest level of accountability.

Standards of Honesty

The Code of Conduct and the ability for both employees and external parties to report potential violations of the Code guide Sadara employee behavior both within and outside of the workplace.

One measure of commitment to our values is how we treat each other. Sadara employees have an obligation to behave in a manner that protects business interests, reputation, and each other.

Sustainability Governance

Sadara team firmly believe that adhering to a sustainability-based framework will enable us to address any challenges we may face and gives us the ability to adopt innovative solutions. Sadara developed its sustainability framework, to serve as its sustainability guide as we move forward. This framework has also been integrated with the company’s management system.
