ETHICS & COMPLIANCE
At Sadara, we are passionate about creating value for our shareholders. We believe in the potential of our company to bring positive change to the Kingdom’s chemical industry – from the products we produce to the jobs and opportunities we create. However, our mission will not be accomplished unless we are equally focused on “how” we accomplish it, as well as on the “results” of our collective labor.
Fundamental principles such as Integrity, Respect, Equality and the Protection of Our Planet are goals of our corporate culture and are reflected in Sadara’s Code of Ethics & Business Conduct. It is this Code of Conduct and the ability for both company employees and outside entities to report potential violations of the Code that guides our behavior both within and outside of our work environment.
Everyone’s Responsibility
During the course of normal business, each one of us may be faced with situations where the right answer is not obvious. The Code of Conduct can guide us, but it cannot address every circumstance. Our first responsibility in all instances is to avoid even the appearance of improper behavior. We must abide by all applicable laws, live the morals and values of our society, apply our respective personal values, and, when in doubt, seek counsel, guidance and assistance.
One measure of commitment to our Values is how we treat each other. As employees, we have an obligation to behave in a manner that protects our business interests, our reputations and each other. This obligation includes taking action to promptly report any conduct inconsistent with the Sadara Code of Conduct, our Values or the law. Even if the facts of the situation are not entirely clear, each of us still has an obligation to report an incident of concern. All reports of misconduct are taken seriously and will be treated confidentially, consistent with a full and fair inquiry.
Sadara’s Code of Conduct (“Code”) applies to all Sadara employees, to our contractors and to our vendors, as well as to our joint ventures, affiliates or subsidiaries, if any, which adopt the Code. Throughout this document, references to Sadara or the Company shall apply to all such entities.
Responsibility of Management
Actions speak louder than words, and we hold our leaders to the highest standard. Supervisors are expected to model appropriate behavior, ensure that employees have the resources they need to conduct business ethically, encourage discussion and be responsive to any verbalized concerns. We expect our management to live up to and maintain the trust that has been bestowed upon them by the company and its shareholders by demonstrating and exceeding the standards of ethical behavior.
Retaliation For Reporting Potential Violations
We respect those who raise concerns about suspected improper conduct. We understand that it can be a difficult and emotional decision to come forth and speak up. Sadara therefore has a ‘No Retaliation’ policy. We will not tolerate retaliation against anyone who reports a potential violation in good faith. The Law, The Code and Company Policy
Sadara has detailed policies in many areas covered by the Code, and has adopted various industry and external best practices. As a global company, we must follow the laws of many countries and jurisdictions. If a section of the Code conflicts with applicable local law, then the local law takes precedence.

Sadara is determined to be known as observing and setting the highest standard for ethics and business compliance. Sadara has established its fundamental principles of sustainability and best practices in the industry. Sadara is affiliated with companies worldwide and is fully committed to the very highest standards of business integrity. We believe that it is critical to our joint success that Sadara and suppliers maintain the highest ethical standards and be aware of, and adhere to, all applicable laws and regulations.
Our business relationships are founded on trust. Sadara has zero tolerance toward violations of our Code of Conduct, applicable laws and regulations, conflicts of interest, or even the appearance of one, in any dealings. As such, Sadara and its Suppliers are required to conduct themselves with the highest standards of honesty, fairness and personal integrity at all times. In addition to our Company Code of Ethics & Business Conduct, Sadara has the Suppliers’ Code of Conduct which more specifically addresses our relationship with our suppliers.
